1. Agreement to the Terms

You acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") by accessing and using the ASSATZ LLP platform (hereinafter referred to as "the Platform"). Please refrain from using the platform if you do not concur with these terms. Your relationship with ASSATZ LLP and any of its sub-LLPs, initiatives, and associated entities is governed by these Terms


2. Definitions  

"We," "Our," "Us": Refers to ASSATZ LLP and its sub-LLPs.

"User," "You," "Your": Indicates an individual or entity that is accessing or utilising the platform.

"Services": Includes fractional ownership opportunities in residential properties, holiday residences, and commercial properties, as well as all services offered by ASSATZ LLP through the Platform.

"Sub-LLP": Denotes any subsidiary limited liability partnership (LLP) established by ASSATZ LLP for the purpose of conducting particular projects or operations.

"Dispute": Denotes any dispute, complaint, or claim that arises between ASSATZ LLP, sub-LLPs, investors, or third parties.


3. Platform Usage-Eligibility

In order to utilise this platform, you must be at least 18 years of age and possess the legal capacity to enter into agreements.

User Conduct: You consent to the following: 

Utilise the platform exclusively for legitimate purposes.

Avoid engaging in activities that disrupt or interfere with the platform's functionality, such as attempting unauthorised access or introducing malware.

Account Responsibility: When you establish an account, you are accountable for the following:

Ensuring the confidentiality of your login credentials.

Guaranteeing that all information provided is current and accurate


4. Services Provided

Information Accuracy: ASSATZ LLP and its sub-LLPs make every effort to ensure that the information provided is accurate and current. However, they do not guarantee the content's completeness, reliability, or accuracy. Before making decisions, it is your responsibility to confirm the accuracy of the information.

Investment Advice: The content on this platform is intended for informational purposes only and does not constitute legal, tax, investment, or financial advice. Before making any investment decisions, it is recommended that you consult with independent professionals.


5. Website Security

In order to safeguard the platform's integrity:

Users are prohibited from attempting to gain unauthorised access to restricted areas of the platform or its servers.

Access will be suspended immediately, and legal action may be taken in the event of any detected breaches.

We implement industry-standard security protocols; however, we are not responsible for any data breaches that are the result of cyberattacks or third-party actions.


6. Fractional Ownership

Ownership Structure: Fractional ownership is achieved through interests in properties that are managed by sub-LLPs under ASSATZ LLP. The specific sub-LLP agreements establish your rights and obligations.

Sub-LLP Role: Each sub-LLP is responsible for the management of specified properties and projects, operating independently under the supervision of ASSATZ LLP. ASSATZ LLP serves as a holding entity and maintains management control over all sub-LLPs.

Usage Rights: Sub-LLP agreements determine the allocation of usage rights for properties, particularly holiday residences. Sub-LLPs and ASSATZ LLP retain the authority to modify allocation policies in order to guarantee equitable utilisation.

Resale and Transfer: Prior sanction from the sub-LLP and ASSATZ LLP is required for the transfer or resale of shares in sub-LLPs.

In the event of resale, the first right of purchase is reserved by ASSATZ LLP or the relevant sub-LLP.


7. Financial Obligations

Initial Investment: The minimum investment required to purchase shares in a sub-LLP is determined by each project.

Ongoing Costs: Investors are required to contribute to operational expenses, including taxes, maintenance, and other recurring costs. In the event that expenses surpass the initial projections, sub-LLPs may impose supplementary fees.

Returns: According to the provisions of the sub-LLP agreement, rental income and capital appreciation returns are distributed.

Distribution delays caused by unforeseen circumstances shall not serve as a basis for legal claims against ASSATZ LLP or its sub-LLPs, and returns are subject to market risks and operational expenditures.


8. Risk Acknowledgment

Market Risks: Investments are susceptible to fluctuations in rental income and property value.

Legal and Regulatory Risks: Sub-LLPs are subject to the relevant laws and regulations. Property operations and ownership structures may be influenced by regulatory modifications.

Dispute Risks: The dispute resolution clause in the sub-LLP agreement shall govern the resolution of disputes that arise from co-ownership or third-party claims.


9. Statements That Are Prospective

The statements regarding future returns, rental income, or property appreciation are contingent upon the current market conditions and are not guaranteed. Deviations from projections are not the responsibility of ASSATZ LLP or its sub-LLPs.


10. No Offers or Reliance

The platform does not constitute an offer or solicitation to sell or purchase securities. Any decisions that are exclusively based on platform content are made at your own risk.


11. Liability Limitation; No Warranty

The platform is provided "as is" without any warranties.

Losses resulting from market conditions or regulatory changes are not the responsibility of ASSATZ LLP or its sub-LLPs.

Claims that result from user decisions that are based on platform content.


12. Third-Party Content and Linked Websites

Linked websites are provided for convenience and do not imply endorsement.

ASSATZ LLP assumes no responsibility for the accuracy or actions of third-party content.


13. Indemnity

You consent to indemnify ASSATZ LLP, sub-LLPs, and their employees from any claims, damages, or legal expenses that may result from your use of the platform or violation of these Terms.


14. Notices

Notices should be sent to legal@assatz.in.

Electronic communications are considered adequate.


15. Severability

The enforceability of the remaining terms shall not be impacted by invalid clauses.


16. Complete Agreement 

The parties' complete understanding is embodied in these Terms and property-specific agreements.


17. Assignment

Rights and obligations under these Terms are not transferable without the written consent of ASSATZ LLP.

19. Arbitration

The Arbitration and Conciliation Act, 1996, shall govern the resolution of disputes through arbitration. The arbitration will be conducted in English, and the seat of the arbitration is Delhi


20. Applicable Law

The laws of Delhi, India, regulate these terms, and Delhi courts have exclusive jurisdiction.
